Bryan, Garnier & Co acts as Sole Financial Advisor to eSmart Systems on its EUR 30m capital raise led by Tilt Capital, with strategic partner Quanta Services and existing investors

eSmart Systems is a leading provider of AI-powered solutions for the inspection and maintenance of critical energy infrastructure.

The company is headquartered in Halden, Norway and serves around 50+ utilities globally. The company’s AI-driven Grid Vision® solutions were developed by a world leading software team specifically for high quality and accurate inspection and infrastructure asset management.

Having proven the value of its technology and driven commercial adoption, the company and its shareholders sought to bring in experienced financial investors and strategic partners that would help the company to scale-up in the next phase of its growth.

Bryan Garnier & Co acted as Sole Financial Advisor to eSmart Systems and its shareholders.

Bryan, Garnier & Co conducted an extensive global investment process guiding a large number of interested strategic and financial investors through a tightly managed competitive process around a short timeline to bring the best partners and transaction terms to the company and its shareholders.

In Tilt Capital, eSmart Systems found an experienced private equity firm with roots in the energy industry and a wealth of experience in scaling growth companies. In addition, with Quanta joining eSmart Systems as a strategic investor, the two companies plan to collaborate on virtual inspection and grid digitalisation services in the North American market, leveraging Quanta’s extensive scale, resources and expertise and eSmart Systems’ cutting-edge digital solutions.

This marks another landmark energy software transaction for Bryan, Garnier & Co, and is a further demonstration of its expertise in combining leading financial investors with strategic partners to deliver value to shareholders and create a solid foundation for further growth.

Other notable energy transactions include the sale of Aidon (smart metering) to Gridspertise (Enel/CVC), a EUR 30m capital raise for Strohm (low-CO2 H2 pipeline infrastructure), a USD 275m follow-on offering for Nikola Motor (Electric and H2 trucks), and a NOK 450m follow-on offering for Otovo (solar PV).

"Bryan Garnier played a critical role in the successful completion of this private placement, with in-depth industry expertise, extensive reach, careful process management and attention to stakeholder needs, Bryan Garnier guided eSmart Systems through every step of the process. Their unwavering support and comprehensive understanding of the sector and its investors were instrumental in securing this pivotal investment, achieving a successful outcome for all parties."
