Since its foundation in 1984, Prosoft group, headquartered in Regensburg and with sales/marketing in Essen, has developed into a leading software provider for temporary employment. In 2017, the company expanded its product portfolio with the introduction of the recruiting software Prosoftrecruiting©.
In 2019, Prosoft’s two shareholders Axel Wegmann and Denny Hölscher commissioned Bryan, Garnier & Co to find a suitable partner to support the company’s long-term growth. The choice of Prosoft’s largest competitor Landwehr was an opportunity to create Germany’s leading provider of SaaS temporary employment software for medium-sized companies, and to secure a long-term future for Prosoft’s IT location in Regensburg.
The unique combination of software investor Lea Partners and Landwehr offers many advantages for customers, a high level of stability and significant growth potential.
Prosoft group, with about 70 employees and headquarters in Regensburg and Essen, is a leading German software provider specializing in temporary staffing. Prosoft was founded in 1984 and has been managed by Axel Wegmann and Denny Hölscher. In 2017, Prosoft expanded its product portfolio along the value chain and introduced the recruiting software solution Prosoftrecruiting©.
Landwehr is a leading provider of industry software solutions for personnel service companies, building and event service providers. Landwehr has been active in the market since 1994 and has been growing steadily since then. The group currently employs around 250 people. Group headquarters are in Wietmarschen-Lohne in Western Lower Saxony.
Lea Partners is an entrepreneurial-minded multi-stage private equity firm investing in growth technology companies that are driving transformative change in their industries. Lea partnered with Landwehr in April 2019, in line with its strategy to invest in software vendors with leading market positions, high degrees of recurring revenues and value generation opportunities through strategic change. Following the acquisition of Rhb Software in November 2019, the merger with Prosoft now represents an important milestone within this strategy.
Bryan, Garnier & Co acted as Sole Advisor to Prosoft’s shareholders throughout the entire investor process.
Bryan, Garnier & Co supported the shareholders in preparing documentation, finding the best possible future partner, coordinating the deal process, organizing due diligence, and negotiating all the contracts.
Prosoft founder Axel Wegmann noted: “Bryan, Garnier & Co demonstrated excellent market expertise in the software sector and proved that it has a broad network of private equity investors and access to all relevant international strategic players”. Denny Hölscher, who will join the management of the new group, added: “We are extremely satisfied that with Bryan, Garnier & Co, we had an advisor on our side who supported us tirelessly during all phases and organized an optimal process”.
The combination of Prosoft and Landwehr represents another successful transaction for the HR software practice at Bryan, Garnier & Co, which also advised French temporary employment software provider Pixid on its sale to private equity investor Keensight.
